Data Rooms Reference

Rooms, access & watermarking, BYOD sources, ODD on Drive, Intelligence, and Analytics — the surfaces and settings in Data Rooms.

Reference for each Data Rooms surface and its settings.

Rooms

The container for a diligence engagement. A room holds documents, controls who can see them, and is the scope for Q&A, Compare, Reports, and the diligence agent.

Members, access & sharing

Rooms are built for sharing sensitive material safely:

  • Members — per-room access control: who can see and act in the room.
  • Share — token-based external links; recipients see only what's shared.
  • Watermarking — documents are watermarked on view and when shared / streamed.

Audit

Every room keeps an Audit trail of activity — who did what, and when.

DocuSign

Send room documents for e-signature through the built-in DocuSign flow.

BYOD sources

Bring Your Own Data. Connect external sources into a room so documents flow in without manual re-upload. Source connections are managed through MCP connections.

ODD on Drive

Run operational due diligence directly over documents in a connected drive — point the agent at a drive location instead of uploading copies into a room.

Intelligence

A 7-scan AI suite you run across a room (pick a room, launch a scan). Each scan is an agent run that returns a result count (flags / alerts / questions / changes):

  • Red flags — issues surfaced across the documents.
  • Completeness — what's missing from the room.
  • Anticipated Q&A — questions an LP / allocator is likely to ask, pre-answered.
  • Change detection — what changed since the last scan.
  • Entity mapping — entities and relationships across the documents.
  • Benchmarking — compare against reference points.
  • Compliance — compliance checks across the room.

Analytics

Coverage and usage analytics for a room — what's been reviewed, what's outstanding, and engagement on shared material.

  • ODD profiles — structured diligence profiles (the ODD/DDQ module).
  • Agent Runs / Approvals — see Agents & MCP.
